Murielle Brouillet-McSorley



Murielle’s practice focuses on Private Equity and Venture Capital, Investment Management, Financing Transactions, Real Estate, Structured Finance and Securitisation, Regulatory and Compliance, and Capital Markets.

She advises multinational groups of companies, management teams, shareholders and investors, private equity houses, investments funds, banks, insurance companies, and other professionals of the financial sector, on their day-to-day activities as well as specific transactions or new development projects.

Her practice draws upon an expertise acquired over the last 14 years advising clients in France and Luxembourg on a wide array of corporate law, mergers and acquisitions, financing and Investment Management, as well as business reorganisation and restructuring, employment law, and general business matters.

Her experience extends from setting up investment companies and structures by assisting her clients in identifying appropriate Luxembourg vehicles, unregulated companies or regulated funds or companies, mainly in cross border transactions, drafting of agreements and market practice legal documentation, issuance of equity or debt instruments, and where applicable preparation of application files for authorization or registration with the Luxembourg regulator, listing with regulated markets and MTF, advising on matters regarding distribution of securities, financial instruments or services under the EU passport regimes or otherwise.

Murielle is a member of the Association of the Luxembourg Fund Industry where she participates in the Private Equity Working Group and the Real Estate Working Group. In addition to her clients in the finance and funds industry, Murielle’s client base also includes major actors in the real estate, hospitality, energy and utilities, as well as chemical and pharmaceutical industries.

Murielle has been a member of the Paris Bar since 1995 and has been admitted by the Luxembourg Bar to practise in Luxembourg under her French professional title. She holds a post-graduate degree in Corporate and Tax Law (DEA), University of Paris Panthéon Assas (1993), and a post-graduate degree in litigation and arbitration (DESS), University of Paris Panthéon Assas (1994).

Marjorie Allo


 

Marjorie Allo is a partner in the Corporate and M&A practice, specialising in corporate restructuring, corporate finance and general securities.

She has strong experience representing multinationals in a broad range of industries, including: hospitality and leisure, financial services, energy, media and telecommunications, technology and retail. She also regularly advises major private equity firms and real estate funds in cross-border and joint-venture transactions.

Marjorie has been a member of the Paris Bar since 1990 and has been admitted by the Luxembourg Bar to practice in Luxembourg under her French professional title.

She holds a Masters degree in Business Law, a post-graduate Degree (DEA) in Business Law from the University of Paris I – Panthéon-Sorbonne (France) and a post-graduate Degree (DEA) in English and North-American Business Law from the same University.

Her interests outside the office include music, playing piano and reading.

Christophe Maillard


 

Christophe Maillard is one of the two founding partners of AMMC Law, along with Marjorie Allo.

Multinational groups and individuals benefit from his experience gained over several years in corporate and M&A, employment law and trade and commerce matters. His expertise also extends to banking and financial law.

He has a post-graduate Degree in Business Law at the University of Aix-en-Provence and is a member of the Luxembourg Bar.

Christophe regularly trains Luxembourg professionals on corporate aspects of Luxembourg law.

He initiated and developed the first Luxembourg legal iPhone app: iLaw.

His interests outside the office include poker, football, movies and computing.

Cynthia Kalathas


Cynthia Kalathas is partner and head of the New York office of AMMC Law. She is specialized in the areas of corporate law, M&A and fund formation.

Cynthia has over 10 years of experience in the areas of M&A, private equity and hedge fund deal structures. She works with clients across the globe on setting up their vehicles in Luxembourg and putting together financing and corporate governance mechanisms for such structures. She has been invited to speak at numerous events on topics related to the European fund industry and Luxembourg law.

Cynthia is called to the bar in New York, Paris, and Luxembourg.

She is also a member of the Business Section of the American Bar Association and the Secretary General of the Luxembourg American Chamber of Commerce.

Her principal interest outside the office is training in dance, as well as music and design.

Emmanuel Natale



Emmanuel Natale is a Partner in the Corporate Law – M&A practice. He advises multinationals and private equity firms on the structuring and financing of international transactions and corporate finance.

Emmanuel is a member of the Luxembourg Bar.

He holds a Masters in Public Law from the University of Strasbourg (France), and a specialisation in Notarial Practice from the “Centre de Formation Professionnelle Notariale” of Strasbourg.

Emmanuel’s interests outside the office include car racing, vintage cars, and clocks and watches.
