The United Kingdom Companies Act 2006 – thirteen hundred sections and sixteen schedules, spread over nearly eight hundred pages – represents the biggest change in UK company law for one hundred and fifty years, and the final provisions came into force on the 1st October.

All Luxembourg companies that have a UK branch, have a place of business in the UK, or even habitually conduct business from a particular location in the UK are subject to the new Act and the new Regulations on overseas companies.

The new law also affects overseas companies buying real property in the UK or arranging secured borrowing in the UK.

The UK Registrar of Companies wrote to all Luxembourg companies who were already registered in the UK during August and September to remind them of the changes. Guidance is also available on the UK Companies House website. However, we recommend that all Luxembourg companies take advice on their specific circumstances, not least because failure to comply with some of the provisions of the Act carries criminal sanctions.
